What does this Terms & Conditions cover?

ThemesUnit is an online marketplace offering thousands of eCommerce, marketplace, and custom-tailored website themes created by elite developers. Since we operate a theme marketplace, we provide tailored website themes for individuals (who we refer to as “Clients”) to utilize as the foundation for their own or their clients’ websites (which we refer to as “Service”).

Our website themes are available for purchase for individuals who operate websites on WordPress, other CMS platforms, custom coding websites, or web development companies who create websites for their customers. Our pre-made themes alter the appearance of the website, and the plugins provide additional features. In turn, clients make their websites accessible to other clients (also known as “End Users”).

Through our website (www.themesunit.com), ThemesUnit provides a range of services to you, our Client, and your End Users; all of these are contingent upon your commitment to abide by the accompanying Terms of Service without alteration of any form. You acknowledge and agree to these Terms of Service by using the Service and/or registering with us. Without any prior warning, these Terms of Service are subject to change at any moment. Any modifications to these Terms of Service will not take effect immediately and will not cover conflicts or occurrences that took place prior to the change’s publication. It is your responsibility to regularly review these Terms of Service. All users who visit or otherwise access our website are subject to our terms of service.

Please make sure you understand every clause in this agreement by carefully reading it over. This agreement mandates the use of individual arbitration rather than jury trials or class actions for the resolution of disputes. It also waives the right to class actions and jury trials.

We value our users’ security and privacy. You acknowledge that, as further explained in our Privacy Policy, by using our Service, you consent to the collection, use, and dissemination of any personally identifying information we may have about you as well as any non-personally identifiable information.

We reserve the right to keep separate accounts for various User types. In the event that you create an account on behalf of a business, organization, or other entity, you agree to these terms on behalf of the entity and represent that you are an authorized representative of the entity with the power to bind the entity to these terms. By utilizing a third-party service (like Facebook or Twitter) to connect to ThemesUnit, you grant us authorization to access and utilize your data there as allowed by the third-party site, as well as to keep your login information on file.

Marketplace

Through ThemesUnit’s Marketplace, third parties can use items created by third parties with our themes.

Conditions For Users of the Marketplace:

Note the additional terms listed below, which are applicable to all items from third parties:

1. ThemesUnit explicitly disclaims any warranties and makes no assurances regarding any third-party product made accessible through the Marketplace, even if ThemesUnit will review some code before accepting a third-party product into the Marketplace. Please use the support option on the product page to get in touch with the manufacturer if you have any questions or concerns.

2. No third-party product sold through the Marketplace is supported by ThemesUnit. Please use the support option on the product page to get in touch with the manufacturer if you have any questions or concerns.

3. ThemesUnit has no influence over any third-party product’s price. The product’s pricing is entirely within the seller’s control, and they are free to change it whenever they like.

4. You agree to release ThemesUnit from any liability arising from your use of any third-party product, and ThemesUnit is not liable for any disputes you may have with third-party products.

5. The Marketplace’s listing of a third-party product does not indicate that it is recommended.

Conditions For Creators of Marketplaces:

1. As the one who created the third-party product, you are need to register as a seller on the marketplace and establish a separate account.

2. ThemesUnit will conduct a code review and a quality control evaluation of any third-party product submitted to the Marketplace for use with any of its themes. ThemesUnit reserves the right, at its sole discretion, to reject any such product.

3. ThemesUnit will not be subject to a time constraint when it comes to doing the code review or quality control review of any product that is provided by a third party.

4. Any third-party product may be rejected and/or removed from ThemesUnit’s Marketplace at any time for any reason, including but not limited to non-supportive behavior or failure to uphold a particular star rating, as ThemesUnit may from time to time determine in its sole discretion.

5. No third-party product is supported by ThemesUnit. You bear full responsibility for all support responsibilities.

6. You have complete control over the price you charge for your third-party goods.

7. At any moment, you can ask for the third-party product to be taken down from the Marketplace. Customers that have previously paid for a third-party product will continue to have access to it and its support for the duration of their license after the product has been withdrawn from the Marketplace.

8. By participating in the Marketplace, ThemesUnit does not promise or guarantee that you will receive any specific number or level of license payments.

9. ThemesUnit makes no representations or warranties regarding the amount of exposure or advertising it will offer for your third-party goods, and it will have complete discretion over how it displays third-party products in the Marketplace.

10. ThemesUnit will have the exclusive authority to create and modify any credit reserve. The credit reserve will be released by ThemesUnit sixty days following the end of the month in which the Marketplace account is canceled or deactivated.

11. ThemesUnit has the right to combine all of your earnings and expenses into a single statement and account if you sell several third-party products through the Marketplace.

12. ThemesUnit shall have the only right, in the event of a disagreement, to provide any credits and subtract such amounts from any balance.

13. You guarantee that none of the third-party products you offer will infringe upon the intellectual property rights of any third party, and you undertake to protect, defend, and hold ThemesUnit harmless against any liability, claims, or legal action (including reasonable legal fees) resulting from any breach of the aforementioned warranties and representations.

14. There is a choice for creators to accept site-wide discounts. ThemesUnit is free to offer a discount on your products if you choose to opt-in. Your products will immediately be included in the sale if it’s a site-wide one, and they might even get extra.

Support Policy

ThemesUnit offers its clients email assistance at support@themesunit.com for its product support services. Support is exclusively offered by ThemesUnit for its products. We do not offer assistance for goods or services (such as hosting) supplied by third parties, nor do we offer assistance for our goods purchased via third parties.

We offer our things just as they are. We do not guarantee that our goods will work with third-party software or services, nor do we offer support for product customization, alteration, or addition.

Signing up

You acknowledge and accept that, as a Client signing up to use our Service, you agree and represent as follows:

1. You are able to enter a legally binding contract and are of legal age;

2. You shall maintain and immediately update any profile you supply to us to ensure correctness at all times, and all information you submit to ThemesUnit or in conjunction with our Service is accurate and complete;

3. You consent to receiving emails, texts, and phone calls about ThemesUnit’s services from ThemesUnit and any applicable third parties.

4. By using this form, you authorize ThemesUnit to email or post your profile and any other information you may provide us on our website or through other channels, as we see fit, either in relation to the Service or for its marketing initiatives;

5. You authorize us to access your account and any messages, data, information, text, images, audio, video, or other materials uploaded, downloaded, or sent to or through the Service using your account, only in connection with the provision of Services, by using the Service.

Accountability for User Content

ThemesUnit expects you to respect the rights of content owners and third-party creators in a same manner. We cannot and do not monitor all of the Materials (including third-party products) uploaded or transmitted by you and other third-parties due to the nature of the Service and the volume of information supplied. You specifically acknowledge and agree that we shall not be held responsible for any Materials, and that we shall have the right, at any time and for any reason, to evaluate, reject, delete, remove, change, or edit any Materials without notice to you or responsibility. For whatever reason, we reserve the right, but are not required, to remove User Content—that is, any products or content that you submit—from the Service.

The notification needs to be in writing and contain the following information in order to be effective:

1. The signature, either digital or physical, of an individual authorized to represent the owner of an exclusive right that is purportedly violated;

2. The identification of the allegedly infringed copyrighted work or, in the event that a single notification covers several copyrighted works at a single website, a list of those works as a representative sample;

3. The material that is to be removed or access to which is to be disabled due to infringement must be identified, along with information that is reasonably sufficient to enable the service provider to find the item;

Acceptable Use Policy

A limited list of the types of actions that are not permitted on or through the Service is provided below: (a) submitting content that is blatantly offensive to the online community, such as content that incites bigotry, racism, hatred, or physical harm of any kind against any group or individual; (b) participating in activities or submitting content that could be harmful to minors; (c) harassing or advocating for the harassment of another person; (d) participating in activities that involve sending unsolicited mass mailings, telemarketing, or “spam,” or harvesting or otherwise gathering personally identifiable information about Service users, such as names, phone numbers, addresses, and email addresses (collectively, “User Data”) without their consent; (e) participating in activities or submitting materials or disseminating inaccurate, deceptive, or encouraging unlawful activity, as well as abusive, threatening, obscene, defamatory, or libelous behavior; (f) submitting materials that include hidden pages, password-protected areas, or restricted access pages; (g) submitting materials that show any kind of pornographic or sexually explicit content; (h) submitting materials that offer educational information about illicit activities like purchasing or manufacturing weapons illegally, invading someone’s privacy, or supplying or producing computer viruses; (i) submitting content that includes malware such as viruses, Trojan horses, worms, or other similar programs; (j) participating in activities or submitting content that asks other users for passwords or personally identifiable information for nefarious purposes; (k) carrying out unapproved commercial activities and/or sales without our prior written authorization such as promotions, requests for donations, competitions, raffles, barter, and pyramid schemes; (l) without our prior written authorization, monitoring, copying, or “scraping” web pages or the content on the ThemesUnit website using a robot, spider, other automatic device, or manual process; (n) decompiling, reverse engineering, or disassembling the software, or attempting to do so; (o) taking any action that, in our opinion, imposes an unreasonable or disproportionately large load on the Service, our hardware and software infrastructure, or that of any of our Licensors or Suppliers, which may result in throttling or limitation of access to our services. (m) using any device, software, or routine to interfere or attempt to interfere with the proper working of the Service. Furthermore, you guarantee and covenant that you won’t use the Service in a way that violates these Terms of Service or the law.

Application of AI

We provide no guarantees or representations regarding the photographs or content that AI may generate, or concerning your capacity to use and share such stuff. Artificial intelligence-generated content might not be covered by copyright. Any content that you create, post, send, or otherwise make public through the use of the Services is not our duty or liability. In particular, we don’t take any responsibility for copyright violations. You understand that we are merely serving as a passive conduit for the online creation of your content, and that you are solely responsible for your content and the repercussions of posting, publishing, sharing, or otherwise making it available. You comprehend and concur that the content you access through the Service may not be accurate, objectionable, suitable for children, or otherwise unfit for your intended use. Use of Third-Party Services

We might provide links to websites and hosting companies run by different third parties as part of our service; however, we take no responsibility or liability for any actions or inactions taken by these third parties. We just offer these links for your convenience and use. ThemesUnit does not run or have any control over any software, products, services, or content found on these websites. When we provide a link to a website, it does not mean that we support the services offered by the website, its owners, or their sponsors.

Representations, Guarantees, and Compensation

The undersigned hereby represents and warrants that (a) the Materials are accurate, current, and complete; (b) you have all necessary authority, rights, and permissions to submit the Materials and grant the licenses described in these Terms of Service; (c) neither the Materials nor your use of the Service shall infringe or misappropriate any copyright, trademark, trade secret, patent, or other intellectual property right of any third party or violate any other rights of third parties, including, without limitation, any rights of privacy or publicity or any contractual rights; (d) neither the Materials nor your use of the Service shall violate any applicable laws or regulations; (e) neither the Materials nor your use of the Service shall cause harm to any individuals.

Assuming full responsibility for any and all claims, demands, damages, liabilities, or expenses—including, but not limited to, reasonable attorneys’ fees—you agree to indemnify, defend, and hold harmless ThemesUnit, its officers, directors, employees, agents, and contractors from and against the following: (a) the Materials you provide or approve for publication; (b) your use of the Service; (c) your breach of these Terms of Service; or (d) any actual, prospective, completed, or terminated service between you and a third party.

Limitations and Disclaimers

Although ThemesUnit strives to provide accurate and dependable information, mistakes occasionally happen. Every storage capacity is offered “as is” and “as available.” Always keep a backup copy of your layouts and/or assets on hand. Furthermore, ThemesUnit reserves the right to edit, modify, and enhance the content presented here at any moment. ThemesUnit makes no guarantees about the availability of its products or services at any certain time or place or about the absence of viruses or other harmful elements from them. ThemesUnit does not guarantee that the items or services are correct, error-free, or up-to-date, or that they are technically accurate or functional. The service as well as the data, programs, goods, and services related to them are given “as is.” Regarding the service and any information, software, products, and services provided herein, ThemesUnit and/or its suppliers, partners, and affiliates disclaim all warranties of any kind, whether express or implied. This includes, without limitation, the implied warranties of merchantability, fitness for a particular purpose, title, and noninfringement. You use ThemesUnit at your own risk. ThemesUnit and/or its suppliers disclaim any liability for any harm resulting from or connected in any kind to any direct, indirect, punitive, incidental, special, or consequential damages or other harm resulting from, or connected in any way to, using the ThemesUnit website or service; from the delay or inability to use the service; or from any information, software, goods, or services acquired through ThemesUnit; or from any other harm arising out of the use of the service, whether resulting entirely or partially from tortious behavior, strict liability, negligence, breach of contract, or any other cause, even in cases where ThemesUnit and/or its suppliers had been informed that damages might be possible. The aforementioned exclusion might not apply to you since some jurisdictions do not permit the exclusion of implied warranties.

Restrictions on Liability

ThemesUnit and its suppliers shall not be responsible for any lost profits or other special, incidental, or consequential damages resulting from this agreement or related thereto, regardless of how such damages may arise, including negligence. In any event, ThemesUnit’s liability, as well as the liability of its affiliates and suppliers, to you or any third parties, will never be more than $0. The above-mentioned liability restrictions are essential components of the agreement between ThemesUnit and you. These restrictions will still be in effect even if a restricted remedy’s primary goal is not achieved.

Mistakes and Postponements

ThemesUnit disclaims all liability for any mistakes or lag time resulting from your wrong email address or other technological issues.

Inability of Force

If an event beyond the reasonable control of either party occurs, such as fire, flood, strike, hurricane, or other industrial disputes, or if raw materials or transportation fails, accidents, wars, riots, insurrections, pandemics, acts of God, or orders from any government department or agency, then neither party will be liable for any failure to timely perform any of its obligations under this Agreement.

Terms of Payment

You might be interested in buying some of our ThemesUnit designs after looking over our website. To do so, you’ll need to provide payment details. We utilize Stripe, BillDesk, or PayPal to process our payments. Before making a payment for any of our items, you must accept their terms and conditions.

Refund Policy

Within seven days of the purchase, we will reimburse any disgruntled consumer. Simply email support@themesunit.com with a description of your issue and a refund request if you would like your money returned.

Taxes

Any relevant state, federal, or provincial taxes are entirely your responsibility. You acknowledge that even though we might not charge you taxes, you will pay any applicable taxes or fees to your state or local tax authority for any purchases. Regarding your purchases, we are not liable for their collection, transmission, or advice regarding taxes, tariffs, or other levies imposed by the government.

Termination

In the event that you violate these Terms of Service, the terms and conditions of any service you may have registered for, the rights of another user, or the law, ThemesUnit retains the right, at its sole discretion and without prior notice, to terminate your access to the Service. You may not place an undue burden on the ThemesUnit servers and may only use the company’s products and services for the purposes for which they were designed. It is prohibited for you to rent, sell, sublicense, or allow a third party to utilize your account or the services you offer in any other way. If you violate these terms of service, your access to may be terminated.

By sending a formal notification to support@themesunit.com, you can always opt out of receiving any future communications from ThemesUnit. It will be your responsibility to make sure ThemesUnit receives the message. Clicking the opt-out or communication Preferences links in every ThemesUnit communication will also allow you to unsubscribe.

ThemesUnit maintains the right, at any time and with or without prior notice to you, to alter, modify, or terminate any service, or any part or feature of it, as well as the provision of any information, goods, material, product, or service. If ThemesUnit modifies or terminates any service or part of it, ThemesUnit will not be liable to you or any other party.
